Corporate governance in SloveniaDanila Djokić, 2011, original scientific article Abstract: In the past five years, the Republic of Slovenia (the RS) has achieved substantial legal progress in the field of disclosure and transparency of public companies. The combination of imperative rules and soft law established suitable legal basis which helped to improve corporate governance of public corporations, not only in words but also in practice. In addition to the overview of the development, this article provides information of the revenues of the management board members in public companies. Corporate governance after 20 years in SloveniaDanila Djokić, 2013, original scientific article Abstract: The implementation of corporate governance in the Republic of Slovenia is particularly important due to the transformation of the equity ownership company system and, consequently, corporate governance, which has been evolving since Slovenia's independence 20 years ago. The implementation of EU directives and regulations brings about positive legal effects in corporate governance following 2004. Positive assessments are provided of the development of Slovenian codes of corporate governance. However, studies, findings and analyzes show some negative phenomena, which should be overpassedin the search of effective corporate governance model in the future. Development of disclosure and transparency as legal methods for the supervision of public companies in the Republic of SloveniaDanila Djokić, 2012, original scientific article Abstract: As a rule, public companies in the Republic of Slovenia use a twotier system of corporate governance. The supervisory boards of such companies should execute the supervisory function by informing and disclosing to the shareholders the data regarding envisaged policies of corporate governance. The principle of disclosure and transparency in general, and in the field of remuneration, is used in the Republic of Slovenia as a systemic legal method and tool, which enables better decision making processes, supervision and control of public companies in the country. Corporate governance policies and transparency in the Republic of SloveniaDanila Djokić, 2015, original scientific article Abstract: The Corporate Governance Policy is the framework for the corporate governance of particular public company. The deed is drawn up by the supervisory board and the management board in order to commit to and publicly disclose how they will supervise and run the company. The article analyses how Corporate Governance Policies have been drawn up in annual reports of the prime listing and selected companies of the standard listing of the Ljubljana Stock Exchange. The annual reports for 2010, 2011 and 2012 have been scrutinized and the results commented. Article shows the perspectives for the further development of transparency principle in the Republic of Slovenia.
